ContextAura is a product of Forae Inc., a Canadian corporation. These Terms of Service ("Terms") are a binding agreement between you and Forae Inc. ("Forae", "we", "us", or "our") governing your access to and use of the website at contextaura.com and related services we operate under the ContextAura brand (the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. References to "ContextAura" throughout these Terms refer to the Service; the contracting party is Forae Inc.
1. The Service
ContextAura is a professional readiness tool that uses generative AI to help users get up to speed on a topic in approximately 10–15 minutes. Sessions are structured (Pre-Meeting Brief, Decision Support, or Quick Brief) and end with a short summary of key takeaways. The Service is provided on an "as is" basis; we may add, remove, or change features at any time.
2. Accounts
- You must have reached the age of legal majority in your jurisdiction (typically 18 or 19) to create an account or use the Service. The Service is not available to minors. By using the Service you represent that you meet this requirement.
- You are responsible for keeping your account credentials secure and for all activity under your account.
- You must provide accurate information and update it if it changes.
- One human, one account. Don't share accounts.
3. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right.
- Attempt to disrupt, attack, reverse-engineer, or probe the Service for vulnerabilities (other than good-faith security research disclosed to support@contextaura.com).
- Scrape the Service, bypass rate limits, or access it through automated means without our written permission.
- Use the Service to generate content that is illegal, infringes intellectual-property rights, harasses or defames another person, or is otherwise harmful.
- Resell, sublicense, or hold the Service out as your own.
- Submit personal data of third parties without their permission.
We may suspend or terminate accounts that violate these Terms. We may also moderate, block, or remove content that we reasonably believe violates these Terms or applicable law.
4. AI-generated content — important
The Service uses third-party large-language models to generate responses. AI output can be inaccurate, incomplete, biased, or out of date. ContextAura is not a substitute for professional advice — including legal, medical, financial, or tax advice — and you should not rely on it as such. You are responsible for verifying any information before acting on it.
As between you and us, you own the topics you submit and the outputs generated for you, subject to any rights and limitations of the underlying model provider. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to host, process, and display that content as needed to operate the Service for you. We do not use your session content to train AI models.
5. Subscriptions, one-off purchases, and billing
Plan details and pricing are shown on the pricing page at the time of purchase. Prices are displayed in your local currency where supported, and otherwise in US dollars. Currency is determined by your billing location and the rules of our payment processor; we do not guarantee currency conversion at any particular rate. All prices are exclusive of any applicable taxes, duties, or equivalent charges, which will be added at checkout or invoiced where required by law.
- Subscription plans renew automatically at the end of each billing cycle (typically monthly) at the then-current rate, until you cancel. Each renewal grants a fresh allocation (a fixed number of sessions or tokens, depending on the plan). Subscription allocations — including Light Plan sessions, Monthly Tokens base allowance, and any subscription top-up tokens — do not roll over from one billing cycle to the next.
- Token-based plans meter usage by the number of tokens consumed by the underlying AI model on your behalf. The per-session token cost varies with how long and how detailed your sessions are; long deep-dives consume more tokens than short briefs. Attaching a document to a session increases the token cost of that session, sometimes substantially. Token counts shown in the application reflect actual model usage and are the controlling figure for your allowance.
- Token top-ups may be available to active subscribers who exhaust their monthly allowance before renewal. Top-ups grant additional tokens for the current billing period only and expire at the next renewal alongside the base allowance. Top-ups are only available to subscribers of the corresponding plan and are not transferable.
- One-off purchases (single sessions and session packs) are permanent. The sessions granted are added to your account and do not expire, and they remain available even if you later cancel a subscription.
- You authorize us (through Stripe, our payment processor) to charge your selected payment method for all amounts due.
- If a payment fails, we may suspend access until payment is resolved. Stripe may retry the charge in line with its standard dunning process.
6. Cancellations
You can cancel a subscription at any time from your account or the Stripe customer portal. Cancellation takes effect at the end of the current billing period; you keep access through that period.
7. Refunds — no refunds policy
Except where otherwise required by applicable law, all purchases on ContextAura are final and non-refundable. This applies to subscription fees (whether or not the included sessions have been used), one-off session purchases, and any other paid features. Cancelling a subscription stops future charges; it does not refund past charges.
To make this concrete, and unless otherwise required by applicable law:
- No refunds for unused sessions, unused tokens (including top-up tokens), partial billing periods, accidental purchases, forgetting to cancel, dissatisfaction with AI-generated output, or change of mind.
- No pro-rated refunds for downgrades, cancellations made mid-cycle, or non-use during a billing period.
- No credit for periods of unavailability or service interruption (your sole remedy is described in Sections 11–12).
- Free, promotional, or referral sessions are non-transferable, non-redeemable for cash, and may expire. Sessions earned through referrals or shared links may be revoked if the underlying account is found to be in breach of these Terms.
- Chargebacks initiated without first contacting us at support@contextaura.com may result in immediate account suspension and a permanent ban from the Service, in addition to any rights we have to dispute the chargeback.
Statutory rights. ContextAura serves customers in many jurisdictions, and we cannot list every consumer-protection regime here. Nothing in these Terms limits, excludes, or modifies any mandatory consumer right that applies to you and cannot be waived by contract under the laws of your jurisdiction. Where applicable law gives you a cooling-off period, a statutory cancellation right, a guarantee, or a right to a refund — for example, certain consumers in Quebec, other Canadian provinces, the United States, the European Union, the United Kingdom, Australia, or elsewhere — those rights continue to apply regardless of anything else in this section. To exercise such a right, email us at support@contextaura.com and we will work with you in good faith.
Billing errors. If you believe you were charged in error — duplicate charge, charge on a closed account, suspected fraud, or wrong amount — email support@contextaura.com within 60 days of the charge with the details, and we'll investigate and correct any genuine error.
8. Price changes
We may change pricing for subscriptions. We'll give you at least 30 days' notice (by email or in the Service) before any price change takes effect for an existing subscription. If you don't accept the new price, cancel before it takes effect; the old price applies through the end of your current billing period.
9. Termination
You can stop using the Service and close your account at any time by emailing support@contextaura.com. We may suspend or terminate your access for breach of these Terms, suspected fraud, abuse, or extended inactivity. Sections intended to survive termination — including ownership, disclaimers, liability limits, indemnity, and governing law — survive.
10. Intellectual property
The Service, including its software, design, logos, and content (excluding user-submitted content), is owned by Forae Inc. and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable licence to use the Service for its intended purpose. Don't copy, modify, or create derivative works of any part of the Service without our written permission.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CONTEXTAURA OR ITS OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) CAD $50.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnity
You agree to indemnify and hold harmless ContextAura and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
14. Governing law and disputes
Except where applicable mandatory law requires otherwise, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law rules. The courts located in Calgary, Alberta have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction and consumers may be entitled to bring claims in their local jurisdiction where applicable mandatory law so requires. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms will continue in full effect.
15. Changes to these Terms
We may update these Terms from time to time. The "Effective" date at the top reflects the latest version. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. (Section 8 separately addresses notice of price changes for active subscriptions.)
16. Miscellaneous
These Terms (together with the Privacy Policy) are the entire agreement between you and ContextAura regarding the Service. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
